Terms of Service

Effective date: 16 July 2026

These Terms of Service (the Terms) form a binding agreement between you and The Corner Factory SA, Rue de St-Guérin 6, 1950 Sion, Switzerland, UID CHE-271.016.257 (Up4it, we, us, or our). They govern your access to and use of the Up4it websites, applications, and related services (together, the Platform).

By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

You must be at least 13 years old to create an account. If you are under the age of legal majority where you live, you may use the Platform only with the permission of a parent or legal guardian who has reviewed and agreed to these Terms with you.

Local law may require parental authorization, age assurance, or other steps before a young person can use an online service or a particular feature. You and your parent or guardian must complete any steps that apply where you live. We may restrict registration or a feature where those requirements cannot be met.

You may not use the Platform if applicable law prohibits you from doing so or if we previously terminated your account for a serious violation and have not authorized your return.

People under 13 may not create or use an independent account. Up4it does not currently offer parent-managed accounts for children under 13. Members aged 13 to 17 are Young Members and receive the additional protections in our Young Members Policy. Organizers may permit minors to attend a Moment only where lawful and with appropriate permission and adult supervision.

The Platform helps registered users (Members) coordinate real-world social activities. A Member who creates a Mood or Moment is an Organizer. A Member who is invited to, requests to join, or joins a Moment is a Participant. Other product terms, including Upcoming, Friends, Circles, and Communities, are explained in the Terminologies section.

Up4it provides coordination and communication tools. Unless we expressly state otherwise for a specific feature:

  • Up4it does not organize, supervise, endorse, verify, insure, or control user-created Moments;
  • Up4it is not a party to arrangements made between Members; and
  • features described in our Roadmap are plans, not commitments, and are not part of the Platform until released.

You must provide accurate information, keep it current, and maintain the confidentiality of your login credentials. You are responsible for activity on your account unless it results from a security failure for which Up4it is legally responsible.

You may not transfer, sell, rent, or share your account. Tell us promptly at support@the-corner.io if you suspect unauthorized access. We may require reasonable verification before restoring access or acting on an account request.

You must comply with our Content Policy, Non-discrimination Policy, Safety Guidelines, Young Members Policy, and applicable law.

You must not:

  • threaten, harass, exploit, deceive, stalk, or unlawfully discriminate against anyone;
  • publish illegal content or content that infringes intellectual property, privacy, publicity, or other rights;
  • groom, sexually exploit, or otherwise endanger a minor;
  • impersonate another person or misrepresent an affiliation, qualification, identity, location, price, or Moment;
  • use the Platform for fraud, spam, unauthorized advertising, trafficking, unlawful sales, or other illegal activity;
  • collect, scrape, export, or use information about other Members outside the purpose for which it was shared;
  • introduce malicious code, bypass access controls, probe security, reverse engineer except where law permits, or interfere with the Platform; or
  • use automated means to access the Platform without our written permission.

An Organizer is solely responsible for the Moment they create and must:

  • provide accurate, current, and non-misleading details, including material risks, accessibility information, eligibility requirements, costs arranged outside Up4it, and cancellation terms;
  • have the authority, permissions, licences, qualifications, insurance, and consents required for the activity and location;
  • take reasonable precautions for Participant safety and respond appropriately to emergencies;
  • comply with health, safety, employment, tax, consumer-protection, non-discrimination, and other applicable laws; and
  • handle Participant information in accordance with our Participant Privacy Standards.

If an Organizer acts for a business, club, association, or other organization, the Organizer confirms that they have authority to bind that organization and must clearly identify the actual provider of any activity or service.

A Participant must review the Moment details, assess whether the activity is suitable, comply with reasonable Organizer instructions, and act safely and respectfully. A Participant must not bring another person unless the Organizer permits it. A parent or guardian remains responsible for any minor attending under their supervision.

Joining a Moment may create commitments directly between Members, depending on what they agree and the law that applies. Up4it is not a party to those commitments. Members are responsible for resolving their own disagreements, but we may review reported conduct and enforce our policies.

Up4it does not currently process payments, collect service fees, or issue payouts or refunds. The Payments Terms and Fees pages explain the current status.

Any payment or purchase arranged outside the Platform is made at the Members’ own risk and under their separate agreement. Nothing in these Terms limits mandatory consumer rights. A commercial Organizer remains responsible for legally required price, identity, cancellation, refund, and other pre-contract information.

Do not describe an off-platform payment as processed, protected, guaranteed, or insured by Up4it.

Meeting people and participating in activities can involve risks, including illness, injury, property damage, fraud, and conduct by other people. Up4it cannot guarantee the identity, background, qualifications, conduct, safety, legality, or suitability of a Member or Moment.

You are responsible for making reasonable enquiries, following our Safety Guidelines, and deciding whether to organize or participate. In an emergency, leave the situation if safe to do so and contact local emergency services before contacting Up4it.

This section does not exclude or limit responsibility that cannot lawfully be excluded.

You retain ownership of text, images, audio, video, and other material you submit to the Platform (Content).

You grant Up4it a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, transmit, and display your Content only as reasonably necessary to:

  • operate and provide the Platform according to your audience and privacy choices;
  • keep the Platform secure, moderate Content, and enforce these Terms; and
  • comply with law and valid legal process.

This licence ends when the Content is deleted from our active systems, except to the extent a copy must be retained for security, backup, evidence, or legal purposes, or remains in Content lawfully shared by another Member. Up4it may not use your Content in advertising or external marketing without a separate legal basis or permission.

You confirm that you have the rights and permissions necessary to submit the Content and grant this licence. In particular, obtain appropriate permission before posting identifiable images, recordings, private communications, or personal information about another person.

Our Privacy Policy explains how Up4it processes personal data. Audience settings reduce who can see Content but cannot guarantee that another Member will not copy or disclose it. Share only information appropriate for the selected audience.

Up4it may investigate reports and restrict visibility, remove Content, limit features, suspend accounts, cancel access to a Moment, preserve relevant evidence, or terminate accounts where reasonably necessary to:

  • enforce these Terms and our policies;
  • protect Members, Up4it, or third parties;
  • prevent fraud, abuse, or security incidents; or
  • comply with law or valid orders.

We consider the context, severity, likelihood of harm, history, and available evidence. We may act without advance notice where urgent action is reasonably necessary. Where required by law, we will provide the affected Member with a clear reason and information about available remedies.

Reports and appeals are governed by our Reporting and Appeals Policy. We do not promise to monitor all Content or interactions, and no general monitoring obligation is created by these Terms.

The Platform, excluding Member Content, is owned by or licensed to Up4it and is protected by intellectual-property law. We grant you a personal, limited, non-exclusive, non-transferable, revocable right to use the Platform in accordance with these Terms.

If you believe Content infringes copyright, follow our Copyright Policy.

The Platform may link to or interoperate with third-party services. Their terms and privacy practices apply to their services. Up4it is not responsible for a third party merely because the Platform links to it, but this does not limit any responsibility imposed on Up4it by law.

We may add, change, suspend, or discontinue features. We will give reasonable notice where a change materially and adversely affects Members, unless urgent action is needed for security, safety, legal compliance, or circumstances outside our reasonable control.

We do not guarantee uninterrupted or error-free availability. We will use reasonable care in operating the Platform.

14. Suspension, Termination, and Account Deletion

You may stop using the Platform at any time and may request account deletion as described in Data Subject Rights.

We may restrict, suspend, or terminate access for a material or repeated breach, a serious safety or security risk, legal requirements, or prolonged inactivity. Where appropriate, we will give notice and a reasonable opportunity to correct a minor breach. You may appeal an enforcement decision under the Reporting and Appeals Policy.

After termination, provisions that by their nature must continue remain effective, including provisions on Content already lawfully used, liability, disputes, and enforcement. Account deletion and data deletion are not identical; the Privacy Policy explains permitted retention.

To the maximum extent permitted by law, the Platform is provided on an as available basis. Up4it does not make promises about Member conduct, Moment quality or outcomes, or the accuracy of Member Content. Any identity or account check indicates only that the stated check was completed; it is not an endorsement or guarantee.

Mandatory statutory warranties and consumer rights remain unaffected.

To the maximum extent permitted by law, Up4it is not liable for indirect or consequential loss, lost profits, lost opportunity, reputational loss, or loss of data arising from use of the Platform or conduct between Members.

For claims for which liability may lawfully be limited, Up4it’s total aggregate liability arising from the Platform during any 12-month period will not exceed the greater of CHF 100 or the amount you paid directly to Up4it for the Platform during that period.

Nothing in these Terms excludes or limits liability for intentional misconduct or gross negligence, death or personal injury caused by Up4it, breach of mandatory data-protection obligations, fraud, or any other liability or remedy that applicable law does not permit us to exclude or limit.

To the extent permitted by law, a Member acting for commercial or professional purposes must compensate Up4it for reasonable losses and third-party claims caused by that Member’s unlawful Content, unlawful Moment, or material breach of these Terms. This does not apply to the extent the claim results from Up4it’s own conduct. Consumer Members are responsible only to the extent provided by applicable law.

These Terms are governed by Swiss law, without regard to conflict-of-law rules. Before filing a claim, please contact support@the-corner.io so we can try to resolve the matter informally.

Subject to any mandatory forum or consumer-protection right, the courts at Up4it’s registered office in Sion, Switzerland, have jurisdiction. If you are a consumer, this clause does not deprive you of the protection of mandatory law or a court available to you under applicable law.

We may update these Terms. For material changes, we will provide reasonable advance notice—normally at least 30 days—through the Platform, by email, or by another appropriate method. A shorter period may apply where required for law, safety, or security. The notice will state the effective date and whether renewed acceptance is required.

If you do not agree to revised Terms, you must stop using the Platform and may delete your account before they take effect.

If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, or transfer of the Platform, subject to applicable law and notice obligations.

These Terms and the policies expressly incorporated into them form the agreement between you and Up4it concerning the Platform. If a product-specific term conflicts with these Terms, the product-specific term controls only for that product.
